AGREEMENT

This Agreement is entered into this by and between Mango TV and THE PARTY.

Mango TV Hereby appoints YOU hereinafter referred to as model to represent them as a model representing the regarding shows, movies and related to their modelling career.

The agency has been granted the exclusive right to use the model’s name included with the approval usage of portrait and pictures in connection with the project of company but with certain restrictions which are the policies of our company.
Model agrees to pay Co-ordinator a set percentage of agreed percentage of all monies, fee or other contributions received by the model for the duration of this contract existing. Co-ordinator shall collect all monies and payment for the jobs conducted under this termed agreement and will retain the agreed payment percentage from the said fund.
Model shall for the sake of taxes, state fee and regulations, be considered an independent contractor and will be responsible for all payment of such fee when due.
There are some terms & conditions which are required to follow as per our agreements i.e.

You must register, create an account, and supply certain data or other information as indicated in our Privacy Policy (the "Registration") in order to use the Platform and enjoy the Services offered therein. Either an individual or an organisation may register. You must be at least 18 (eighteen) years old to use the Platform as an individual, or, if you are between the ages of 13 and 18, you must obtain your parent's or legal guardian's consent. By using the Mango TV Platform, you are demonstrating and guaranteeing to us that you have secured all necessary authorizations and consents to use the Platform. You may not use our Platform if You Are Under 13 Years Old.

After successfully registering on the Platform as a Creator, the data you provided at the time of your registration on the Platform is used to create a subdomain for You (simply put, it is like having Your own website to create and publish Your Content which is powered by the Mango TV Platform). If you successfully register as a Follower, you will have access to your dashboard, which includes any Content you have registered for on the Platform as well as any Subscriptions you might be a part of. Your username and password to access the Platform must be kept private at all times. You agree not to grant any other individual access to the Platform, accept that Your account is personal to You, and acknowledge that You are having.

You are in charge of protecting the privacy of Your account and the password you use to access the Platform. You agree not to give anyone else access to the Platform or control access to Your device in order to prevent unauthorised access to Your account and acknowledge that Your account is personal to You. You acknowledge that you are accountable for all actions taken on your behalf. When using a public or shared computer to access Your account, you should take extra care to ensure that no one can see or record Your login, password, or other sensitive information. In order to keep the password secure and confidential at all times, you should take all required precautions. If you have any reason to suspect that your password is become known to someone in that case you agree to change your username and password immediately without any delay so that we can help to stop prevent any unauthorised or illegal activity from your account.

Please make sure that the information You give us is accurate and full, and let us know right once if any of the data You gave us while enrolling on the platform changes. We retain the right to reject access to the Platform, delete material, and terminate accounts at any time without providing prior notice to you. Additionally, we reserve the right to immediately revoke any username, password, or other identifier—chosen by you or assigned by us—if we determine that you have broken any clause of this Agreement or the law.

In accordance with the terms of this Agreement according to INDIAN CONTRACT ACT, 1872, Mango TV offers You (as a Creator) a limited, non-exclusive, non-transferable, and non-sub-licensable license to access and use the Platform. You won't use this Platform or any portion of this Platform in any way other than as expressly permitted by this Agreement or as otherwise stated in writing or by making derivative works from this Platform (including but not limited to any copyrighted material, trademarks, or other proprietary information).

You recognise and acknowledge that the Platform enables You (as a Creator) to make Your Content available for Followers to buy at the price stated therein at any time and from any location, and that the Platform likewise enables You (as a Follower) to buy the Content made available by Creators on the Platform). You further accept and acknowledge that the Company is simply a facilitator and cannot be a party to any transactions on the Platform or exert any kind of control over them. As a result, the agreement for the sale of goods or content on the platform must be purely between the Creators and Followers on the platform. Having said all of the foregoing, all of Your information, including discussions on the Subscriptions, is encrypted and only available under the conditions of our Privacy Policy.

This Agreement is inextricably linked to Mango TV Data Processing Agreement (the "DPA"), which outlines Creators' and the platform’s responsibilities with regard to the handling of personal data. Creators agree to abide by the DPA's provisions to the degree applicable and are responsible for safeguarding any personal information they receive from Mango TV or give to them in connection with their use of the Platform or any of the Services. The personally identifiable data that Creators obtain from and about Followers is regarded as being within their control or ownership. Creators must adhere to the terms of the DPA as well as provide their Followers with the proper privacy notice, respect their Followers' privacy rights in line with the law, and grant access to or delete their Followers' data.

We will use every effort to guarantee that the Platform will be available without interruption and that transmissions won't include any mistakes. The same cannot be ensured, though, given the nature of the Internet. Additionally, without prior warning, access to the Platform may periodically be halted or limited to make way for maintenance, repairs, or the addition of new facilities or services. The frequency and length of any such suspension or limitation will be kept to a minimum. You accept that Mango TV won't be held responsible if all or a portion of the Platform is unavailable at any moment or for any length of time for any reason.

Code of Conduct

You consent to the following in order to provide a positive user experience for all Platform Users:

Use of the Platform Lawfully: You undertake to use the Platform solely for reasons that are legal, and you are not permitted to use our Platform in any way that contravenes any applicable local, state, federal, international, or regional law or regulation (including, without limitation, any laws regarding the export of data or software to and from the USA or other countries). Additionally, You Agree Not To Use The Platform In Any Way That Would Disrupt, Damage Or Prevent Access To It, Including Promoting Or Encouraging Illegal Activity Like Hacking, Cracking Or Distribution Of Counterfeit Software, Compromised Accounts, Or Cheats Or Hacks For The Platform And Conduct Of Any Form Of Fraudulent Activity.

No content that is harmful or dangerous: We think that our platform is a safe place for Creators, and we need Your cooperation to make sure that it stays that way. In light of this, it is absolutely forbidden for any content to be posted on the Platform that encourages or incites violence, has a risk of causing physical or psychological injury, puts someone's safety at risk, or is otherwise objectionable. Any regulated or unlawful goods cannot be sold or promoted. The Platform may only be used for the purposes set forth in this Agreement.

No hateful or defamatory content: We acknowledge that there may be occasions when people exchange ideas and opinions, which is important for the learning process, but we do not encourage or tolerate any form of hate speech, articles, photographs, or statements that are libellous, slanderous, threatening, violent, predatory, defamatory, or that incite hatred against specific individuals or groups.
Violent and graphic content: Content that is violent or graphic is prohibited if its main purpose is to sensationalise, shock, or distress viewers. We forbid the uploading of any materials to the Platform that encourage terrorism or incite violence.

Harassment and bullying: Many Users will use Mango TV Platform on a daily basis, thus it's crucial to treat them with consideration and kindness. We work to maintain the Platform as a secure environment that promotes learning and do not allow any sort of harassment or bullying on the Platform. In this instance, harassment would include, without limitation, offensive videos, comments, messages, disclosing another person's personal information, including sensitive personally identifiable information, posting content or comments with the intention of making another person look bad, stalking, and any form of sexual harassment or bullying.

Spam: Violation of this Agreement is manifested by the posting of unfocused, unwanted, and repetitive content, comments, or messages with the express purpose of spamming the Platform and diverting attention from the Platform to other third-party websites. It is not permitted to post links to blocked websites or external websites that contain malware.

Privacy violation: For information on how to preserve Your privacy and respect the privacy of other Users, please refer to our privacy policy.

Impersonation: Impersonation is prohibited when using our Platform, including but not limited to impersonation a Reputed employee, or another User. In this instance, impersonation would refer to the deliberate attempt to mislead others about who the genuine person is by acting in their place (such as using names, image, documents, certificates etc. not belonging to You or not used to identify You, or pretending to be a company, institute, group etc., by using their logo, brand name or any distinguishing mark).

Unauthorized Access or Disabling of Platform: You agree not to (I) use the Platform in any way that might overburden, damage, or impair it or interfere with another User's use of the Platform; (ii) use any manual process to monitor or copy any content on the Platform for any unauthorised reason without Renown's prior express written consent; and (iii) use any tool, programme, or procedure that obstructs the smooth operation of the Platform.

Intellectual Property:

The Platform, ideas, concepts, the layout, design, flow, look and feel of the Platform, logos, marks, graphics, audio files, video files, any software that Mango TV owns or has a license to use, the underlying source and object code, instructions embedded in any form of data, and any other information or materials provided or communicated to You by or on behalf of Renown are all owned by Mango TV. You are not allowed to make any alterations to Mango TV Content, including its trademarks. You understand and agree that by using the Platform or any Content, you do not acquire any ownership rights in either of these.

Content on the Platform

By putting your content on the platform, you consent to the following:

You are solely in charge of Your Content, you own or otherwise control all of the rights to it, Your Content does not violate anyone else's intellectual property rights, and You have obtained all necessary permissions and licences from any third parties who may be the legitimate owners of all or a portion of Your Content.

Your Content is permissible to be made available on the Platform.

You hereby acknowledge that you have read, understood, and accepted all of Mango TV policies and guidelines. Your Content does not violate any applicable policy or guideline of Mango TV , including this Agreement.

You grant Mango TV a non-exclusive, royalty-free, transferable, and sublicensable right to use, copy, distribute, store, transmit, and otherwise make use of Your Content in connection with the Mango TV Services in order to: (i) provide the Platform and our services; (ii) carry out our obligations under this Agreement; (iii) provide, monitor, fix, and enhance the Platform and services related thereto; and (iv) de-identify User.

Mango TV’s Rights

Mango TV reserves the following rights about the whole Platform:

If You Violate Any of the Terms of this Agreement, Mango TV Reserves the Right to Remove You and/or Your Content without Prior Notice. Without prior warning, Mango TV reserves the right to alter, discontinue, or refuse to offer Services.

Mango TV reserves the right to ban anybody from the Platform at any time and for any cause, notwithstanding anything to the contrary in this Agreement, in its sole discretion. In order to react to support ticket requests, to keep the Platform safe and secure, and for other reasonable business needs as determined by Mango TV, this platform retains the right to access Your account and/or Your Content.

Mango TV may monitor content that appears on the Platform or examine any behaviour carried out through the Platform, including any interactions between Creators, Followers, and Mango TV personnel, but Mango is under no duty to do so.

If You close Your account, Mango TV may, subject to applicable law, retain a copy of Your Content beyond termination for the specific purpose of archiving it for compliance with any applicable rules and regulations as well as for our internal business needs. You provide us a non-exclusive, permanent, irrevocable licence to store a copy of Your Content for the specific, above indicated use.

Any aspect of this Agreement may be modified, changed, altered, suspended, or terminated by Mango Tv at any time and without prior notice at its sole discretion.

Copyright Complaints and Takedown Policy

Mango TV respects other people's intellectual property and requests the same courtesy from our users. You should notify Mango TV of your infringement claim in accordance with the procedure outlined below if you believe that Your work has been reproduced in a way that constitutes copyright infringement or that Your intellectual property rights have otherwise been violated. Regarding any alleged or actual infringement, Mango TV will process and look into notices of alleged infringement and will take appropriate legal action in accordance with the laws applicable and other applicable intellectual property laws. Emails with the subject line Mango TV Grievance should be sent to the Mango Tv Copyright Agent at suppot@mangotv.co.in in order to report alleged copyright violations. For the notification to be effective, must be in writing and contain the following information:

Your physical or electronic signature, or the signature of the representative duly appointed by the owner of the copyright or other intellectual property interest;
an explanation of the work protected by copyright or other piece of intellectual property that You claim has been violated;
a description of the location of the content that You believe is infringing on the Platform, with enough specificity for us to be able to locate it on the Platform your home address, contact information, and email address;
a declaration by You stating Your good faith opinion that the disputed use is not permitted by the law, the copyright or intellectual property owner, or its agent;
a declaration from You that the information in Your Notice is true and that You are the copyright or intellectual property owner or have the necessary authority to act on their behalf, made under penalty of perjury.

You may be held accountable for damages and legal costs if You submit a claim of infringement that wilfully and materially misrepresents that any Content, information, or communication on the Platform violates a copyright.

Deletion of Account

Your account can be deleted at any time. Your Content may no longer be accessible and may even be lost if your account is deactivated (for whatever reason). Mago TV disclaims all liability for the loss of any deleted content and shall not be held accountable for any party's inability to access deleted content.

Limitation of Liability

Arising from, resulting from, or in connection with your use, or inability to use, the platform, any content on the platform, or such other service or items obtained through the platform including but not limited to (i) your access to and use of our platform; (ii) any unauthorised access to or use of our secure servers; and/or (iii) any personal injury or properly damage, of any nature whatsoever, resulting from your use of our platform. (iv) Any bugs, viruses, trojan horses, or the like, which may be transmitted to or through our platform by any third party, and/or (v) any errors or omissions in any user content or any other content or for any loss or damage of any kind incurred as a result of your use of any content.

You expressly acknowledge that Mango TV is not responsible for user content or the defamatory, offensive, or unlawful conduct of third parties and that the risk of harm or damage from the aforementioned rests entirely with you.

Indemnity and Release

You agree to defend, indemnify, and hold harmless Mango TV, its successors and assigns, and each of their officers, directors, subsidiaries, affiliates, agents, and workers from any claims, liability, judgments, awards, losses, obligations, costs, expenses, or fees (including reasonable attorneys' fees), demands, or actions brought by a third party, or penalties levied as a result of or resulting from Your violation of this Agreement or any document referenced therein, any claim brought by or on behalf of third party.

Other Communications

You are contacting us electronically when you use the Platform. While setting up any account with us or placing an order with us, you could be asked for a working phone number. We may reach out to you by phone, text message, email, posting notices on the Platform, or any other means of communication. You agree to receive communications from us regarding Your use of the Platform and/or any orders you place on the Platform, including transactional, promotional, and/or commercial messages. Even if Your phone number is listed on any state- or federal-run do-not-call lists, Mango TV may still contact you. You acknowledge that Your telephone provider may charge You for these texts or calls, and that Mango TV will not be liable for these costs.

Withdrawal of payment

to withdraw the payment from the app earned through the content created the creator, the creator should be agreeing with the terms & conditions levied by the Mango TV in which there will be a fixed set of percentage for the platform Mango TV and the rest will be yours from which if you are owning a co-ordinator you will decide the percentage of that co-ordinator from your percentage portion.

Applicability of law & regulations

All relevant provisions of law and regulations will apply related to the laws under which this platform governed by the laws.

Disclaimer

You acknowledge that all materials, including the platform, are provided "as is" and "as available," and that using the platform is done at your own risk. _Mango TV, its Officers, Directors, Employees, and Agents disclaim and exclude all warranties, express or implied in connection with the platform and you use thereof to the fullest extent permitted by the law. Now disclaims any and all warranties, conditions, terms or representations, relating to the accuracy, security, reliability, quality, availability or completeness of the platform, user content on the platform, or the content of any sites so linked, and assumes no liability or responsibility (I) Inaccuracies, errors, or mistakes in user content or any other content on the platform. (II) Personal injury or property damage of any kind resulting from your use of the platform or access to it. III) Any unauthorised access to or use of our secure servers, including any and all personally identifiable information and/or financial data stored there, (IV) Any interruption or cessation of transmission to or from the platform, (v) any errors or omissions in any user content or any other content and for any loss or damage of any kind resulting from the use of any user content or any other content posted, emailed, transmitted, or otherwise made available via the platform, Mango TV does not warrant, endorse, guarantee, or assume responsibility for any user content or the platform advertised or offered by a third party through the platform or any hyperlinked services or featured in any banner or other advertising, and Mango TV will not be a party to or in any way as with any medium used to purchase a service you should use your best judgement and exercise caution as necessary, regardless of the environment.

Governing law and Jurisdiction

In the unusual case of a dispute between us, this Agreement shall be governed by and construed in accordance with the laws of India if You are a Creator located in India and accessing the Platform from India or a Follower accessing Content created by a Creator located in India. You and we both agree to submit to Delhi, India's courts' sole jurisdiction.
